Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Decentralized Intelligence LLC, a Wyoming limited liability company (“VoyageVault,” “we,” “us”), governing your use of the VoyageVault website, dashboard, phone number(s), SMS/MMS service, and related services (the “Service”).
By using the Service, adding the VoyageVault number to a group chat, creating an account, or clicking “I agree,” you accept these Terms. If you do not agree, do not use the Service. Section 15 contains a binding arbitration agreement and class-action waiver.
1. Eligibility
You must be at least 18 (or the age of majority where you live) and able to form a binding contract. The Service is not directed to children under 13. You represent that the information you provide is accurate.
2. What the Service does
VoyageVault provides a phone number you add to a group text (“Group Chat”). Once added, it archives messages, media (photos, videos, audio, links), and location data shared in that Group Chat, organizes them in a private member dashboard, and lets authorized members search and ask AI-generated questions about that content. Features, availability, and pricing may change at any time.
3. Your responsibilities and consent
You are solely responsible for the lawfulness of adding VoyageVault to any Group Chat and for the content it archives. By adding the VoyageVault number, or inviting or enabling others, you represent and warrant that:
- you have the right and all necessary consents from every participant to record, archive, store, process, and share their messages, media, personal information, and location data;
- you have notified all participants that their messages and media are being archived by a third-party service;
- your use complies with all applicable laws, including wiretap / eavesdropping / one- and two-party-consent laws, the TCPA, CAN-SPAM, carrier/A2P 10DLC rules, and privacy laws (GDPR, UK GDPR, CCPA/CPRA where applicable); and
- you have rights to any content you upload or cause to be archived and it infringes no third-party rights.
You — not VoyageVault — decide to archive a conversation; VoyageVault acts at your direction as a passive tool. You assume all risk from that decision and will indemnify us for it (Section 14).
4. Accounts & security
Accounts are keyed to a phone number, verified by one-time SMS code. You are responsible for maintaining access to your number and for all activity under your account. Notify us at founder@voyagevault.io of unauthorized use. We may suspend or terminate accounts at our discretion.
5. Messaging & opt-out
Message and data rates may apply; frequency varies. Reply STOP to opt out, HELP for help. Carriers are not liable for delayed or undelivered messages. You consent to service/transactional messages (login codes, receipts). You must not add the Service to any chat where a participant has not consented or has opted out.
6. Payments, subscriptions & refunds
- Pricing. Some features require payment: a one-time group-activation fee and/or a recurring “Pro” membership, as shown at checkout. Prices may change prospectively.
- Authorization. By providing a payment method and completing checkout, you authorize us and our processor to charge that method for all fees you incur, including one-time fees, recurring fees, and applicable taxes. You represent that you are authorized to use the payment method.
- Auto-renewal. Recurring subscriptions automatically renew at the then-current price for successive periods until canceled; you authorize these recurring charges to continue until you cancel.
- Processor. Payments are handled by Stripe under its terms; we do not store card data.
- Cancellation. Cancel anytime through your account or by emailing founder@voyagevault.io; cancellation takes effect at the end of the current billing period, and you retain access until then.
- Refunds. Except where required by non-waivable law, all fees are non-refundable, and no refund or credit is given for partial periods, unused time, or features you did not use.
- Gifting. If you pay for another person’s membership, you authorize the recurring charge until you cancel.
- No chargebacks — dispute us first. If you believe you were charged in error, you agree to contact us first at founder@voyagevault.io and give us a reasonable opportunity to resolve it before disputing any charge with your bank or card issuer. You agree not to initiate a chargeback, payment dispute, or reversal for charges that are consistent with these Terms (for example, validly auto-renewed subscriptions, fees you authorized, or non-refundable fees). Initiating a chargeback or payment dispute in breach of this section is itself a material breach of these Terms.
- Consequences of chargebacks. A chargeback or payment dispute that we determine to be improper, fraudulent, or in breach of these Terms may result in immediate suspension or termination of your account and access to archived content, and you authorize us to re-invoice and collect the disputed amount plus any fees, penalties, and costs (including chargeback fees, processor fees, and reasonable collection and attorneys’ fees) we incur, and to recover them, including through a collections agency. You remain liable for all amounts properly owed. Where a charge is found valid, you agree we may submit these Terms and your acceptance and usage records as evidence to the card network.
- You are responsible for applicable taxes.
7. Your content & license
You and the Group Chat participants retain ownership of archived content (“User Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, index, create embeddings from, analyze, and display User Content solely to operate, secure, and improve the Service and to comply with law. We may use aggregated, de-identified data for analytics.
8. Acceptable use
You will not: use the Service without the consents in Section 3; archive or upload unlawful, infringing, harassing, or non-consensual content; reverse engineer, scrape, or overload the Service; resell it (beyond member invites); access data of groups you don’t belong to; or interfere with security. We may remove violating content.
9. AI features — no reliance
AI-generated output may be inaccurate, incomplete, or misleading. It is provided for convenience only, “as is,” with no warranty of accuracy. Do not rely on it for any important decision; verify independently.
10. Data retention & availability — no guarantee
We aim to retain content and keep the Service available, but we do not guarantee that content will be retained, backed up, error-free, or available. Marketing statements like “kept forever” describe intent, not a contractual guarantee. Keep your own copies of anything important. We are not liable for any loss or deletion of content.
11. Intellectual property
The Service, software, designs, logos, and the “VoyageVault” name are owned by us or our licensors. We grant you a limited, revocable, non-transferable license to use the Service per these Terms.
12. Suspension & termination
We may suspend or terminate access, or remove content, at any time, with or without notice, for any reason, including suspected violations or risk to the Service or others. Sections that should survive (including 3, 7, 9–24) survive termination.
13. Disclaimer of warranties
The Service is provided “as is” and “as available,” with all faults and without warranties of any kind, express, implied, or statutory, including merchantability, fitness for a particular purpose, title, non-infringement, and accuracy. We do not warrant the Service will be uninterrupted, secure, error-free, or that content will be preserved.
14. Indemnification
You will defend, indemnify, and hold harmless Decentralized Intelligence LLC and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from: your use of the Service; your archiving of, or failure to obtain consent for, any participant’s messages, media, or data; your User Content; your violation of these Terms or any law or third-party right; any chargeback, payment dispute, or reversal you initiate in breach of Section 6; or any dispute between you and any participant or member.
15. Arbitration; class-action & jury waiver
- Informal first: contact founder@voyagevault.io and try to resolve informally for 30 days.
- Arbitration: disputes are resolved by final, binding individual arbitration (AAA Consumer Rules) seated in Los Angeles County, California, not court — except individual small-claims matters.
- Class-action waiver: claims proceed only on an individual basis, not as a class or representative action.
- Jury waiver: to the extent a claim proceeds in court, you and we waive a jury trial.
- Opt-out: you may opt out within 30 days of first accepting these Terms by emailing founder@voyagevault.io.
16. Limitation of liability
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, data, goodwill, or content. Our total aggregate liability for all claims will not exceed the greater of (a) the amount you paid us in the 12 months before the claim, or (b) US $100.
17. Governing law & miscellaneous
These Terms are governed by the laws of the State of California and applicable U.S. federal law (including the Federal Arbitration Act), without regard to conflict-of-laws rules; venue (subject to Section 15) is Los Angeles County, California. We may modify these Terms by posting an updated version; continued use constitutes acceptance. If any provision is unenforceable, the rest remains. These Terms (with the Privacy Policy) are the entire agreement. 18. Privacy & data
We process personal information to provide the Service. To operate it we rely on subprocessors, including messaging/telephony (e.g., Twilio and mobile carriers), AI processing (e.g., Anthropic), payments (Stripe), and cloud hosting; using the Service means data may be processed by them and, where applicable, transferred to and stored in the United States. We retain and delete data as described in Section 10 and at our discretion. To make a privacy request (access, deletion, or opt-out under laws such as the CCPA/CPRA or GDPR where applicable), email founder@voyagevault.io. The account holder who enabled archiving is the controller of participant data and is responsible for participant notices and rights under Section 3.
19. Third-party services & carriers
The Service depends on third parties we do not control — mobile carriers, Apple/iMessage, Google, Twilio, Stripe, AI providers, and others. Your use of those services is subject to their terms, and we are not responsible or liable for their acts, omissions, availability, pricing, security, or content, including delayed, blocked, or undelivered messages. We may add, change, or remove third-party integrations at any time.
20. Copyright & DMCA
We respect intellectual-property rights and respond to valid notices of claimed infringement under the DMCA. Send notices to our designated agent at founder@voyagevault.io with the information the DMCA requires (identification of the work and the material, your contact information, and the required good-faith statements). We may remove allegedly infringing material and terminate repeat infringers.
21. Electronic communications, notices & e-signature
You consent to receive communications from us electronically (email, SMS, and in-Service notices), and you agree that clicking “I agree,” using the Service, or providing an SMS one-time code constitutes your electronic signature and acceptance, and satisfies any requirement that a communication be in writing. We may give notice to the email or phone number on your account; you give notice to us at founder@voyagevault.io. You are responsible for keeping your contact details current.
22. Force majeure
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, outages, carrier or vendor failures, cyberattacks, labor disputes, war, terrorism, or government action.
23. Assignment
We may assign or transfer these Terms and the Service, in whole or in part, including in connection with a merger, acquisition, financing, reorganization, or sale of assets, without notice or consent. You may not assign or transfer these Terms or your account without our prior written consent, and any attempt to do so is void.
24. General
These Terms are the entire agreement between you and us regarding the Service and supersede prior agreements on the subject. Our failure to enforce a provision is not a waiver. If any provision is held unenforceable, it is limited or severed and the rest remains in effect; the arbitration and class-action waiver in Section 15 survive to the maximum extent permitted. Nothing here creates any agency, partnership, employment, or joint venture. Section headings are for convenience only. You agree to comply with all applicable export-control and sanctions laws and represent you are not located in, or a national of, an embargoed country and are not on any U.S. restricted-party list. If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation. The Service is controlled and operated from the United States. Provisions that by their nature should survive termination (including Sections 3, 6, 7, 9–24) survive.
By using VoyageVault, you acknowledge you have read, understood, and agree to these Terms.
